Lefosse advises Conexa on association with Psicologia Viva
Lefosse Advogados advised Conexa Saúde on its new investment when it merges with the digital platform Psicologia Viva S.A
The Lefosse team served as counsel to Conexa Unicorn LLC and its affiliate Conexa Saúde Serviços Médicos S.A. in connection with an association involving a business combination between Conexa and Psicologia Viva S.A..
The new investment expanded Conexa’s patient base by nearly 10 million patients.
The Association involved two parallel negotiations (one with SBIBHAE and one with the other shareholders of Psicologia Viva) and three jurisdictions (Delaware, Brazil and Chile).
The Association involved the admission of Psicologia Viva’s shareholders as members of Conexa Unicorn (except for Sociedade Beneficente Israelita Brasileira Hospital Albert Einstein, which was admitted as a shareholder of Conexa Saúde) and Psicologia Viva and its subsidiaries PsyAlive SpA and PsyAlive, Inc, becoming subsidiaries of Conexa.
