Lefosse has advised CSD Central de Serviços de Registro e Depósito aos Mercados Financeiro e de Capitais S.A. and its shareholders on an equity investment to be made by Banco BTG Pactual S.A., Banco Santander (Brasil) S.A. and CBOE Global Markets, INC in the CSD.

CSD is engaged in the business of registering securities and assets and other financial instruments for negotiation in organized markets. It is authorized to operate by the Brazilian Central Bank (Banco Central do Brasil – BACEN), the Brazilian Securities Commission (Comissão de Valores Mobiliários – CVM) and the Brazilian Private Insurance Authority (Superintendência de Seguros Privados – SUSEP).

The transaction involved the participation of CBOE, based in Chicago, United States, which possess the securities exchange know-how, currently operating globally and is the first step of the CSD towards developing its business to become a Brazilian authorized stock exchange, a market which is currently composed of only one player.

The transaction involves the investment by three strategic players, two of the largest financial institutions in Brazil and a global exchange operator. The transaction is an important landmark in Brazil, given the potential to develop a competitive market in the exchange markets industry.

Lefosse Advogados relied on partners Sergio Machado (pictured left) and André Mileski (pictured right) ; associates Júlio Queiroz, Ariela Ana Sznirer and Luisa Leite.
