Lefosse advises Gol on corporate reorganization project
Lefosse Advogados advised Gol Linhas Aéreas Inteligentes S.A. on the merger of the common shares of Smiles Fidelidade S. A. into GOL Linhas Aéreas S.A.
Lefosse Advogados advised GOL Linhas Aéreas Inteligentes S.A., a publicly traded company listed on the Level 2 segment of B3 S.A. – Brasil, Bolsa, Balcão (Brazilian Stock Exchange or “B3”), one of the largest domestic airlines in Brazil.
With 20 years of experience in the Brazilian aviation sector, Gol went through a corporate reorganization, making a deep merger of the common shares of Smiles Fidelidade S. A. (Smiles) by GOL Linhas Aéreas S.A. (GLA).
On the same date, subsequently and interdependently, the merger of GLA shares by GOL, resulting in the migration of SMILES’ shareholder base to GOL , in a corporate reorganization.
Within the scope of the Reorganization, the companies will maintain their activities. GOL will maintain its registration as a publicly traded company listed on B3 Level 2 segment and SMILES will become a wholly owned subsidiary of GLA, being excluded from B3’s Novo Mercado segment.
