Lefosse advises Jive on their first private pension fund

Lefosse advised Jive Asset Gestão de Recursos in the capacity of manager, on the structuring of its first investment fund dedicated to receiving funds from private pension plans, Jive Soul Prev – FIFE Fundo de Investimento Multimercado Crédito Privado.

The other parties involved were Banco Daycoval, as the fiduciary administrator and XP Investimentos Corretora de Câmbio, Títulos e Valores Mobiliários, as the exclusive distributor.

The fund was structured as a multimarket investment fund, pursuant to Brazilian Securities Commission CVM Rule No. 555, and as a special purpose fund for investment by pension plans, under Rule No. 4.993 of the National Monetary Council.

The structuring of the transaction involved, among others, discussions with respect to the structure of the fund, drafting and negotiation of all transaction documents, among Jive and the relevant parties, including the bylaws of the fund, management and distribution agreements.

The fund is the first vehicle managed by Jive dedicated to the private pension segment, with a target public of qualified investors. The portfolio of the fund will include high yield credit assets, such as energy, agribusiness, entertainment, tourism and retail.
