Lefosse advises Pague Menos on the purchase of Extrafarma for BRL700m
Lefosse Advogados advised Pague Menos drugstore chain in the purchase of Extrafarma from Ultrapar Holding for BRL 700 million
Lefosse advised Empreendimentos Pague Menos S.A. in the transaction involving the acquisition of up to 100% of the capital stock of Imifarma Produtos Farmacêuticos e Cosméticos S.A. for BRL 700 million.
The Transaction is an important milestone in accelerating Pague Menos’ growth strategy to strengthen its presence in the North and Northeast of Brazil. The deal also allows Pague Menos to expand its physical structure through the incorporation of 402 stores and 4 Extrafarma distribution centers. As a result of the transaction, Pague Menos will become the second largest pharmacy chain in Brazil.
The Transaction is subject to the satisfaction of certain conditions precedent, in accordance with the share purchase agreement entered into between Pague Menos and Ipiranga Produtos de Petróleo S.A., and, as intervening parties, Extrafarma and Ultrapar Participações S.A..
The operation will also be subject to CADE’s analysis, following its more complex procedure (Ordinary Procedure).
