Lefosse Advogados assists AES Tietê in corporate restructuring
As part of the restructuring, AES Brasil was registered as a publicly traded company with the Securities and Exchange Commission and listed on the Novo Mercado listing segment of the B3
Lefosse Advogados advised AES Tietê Energia S.A., a publicly traded company listed on Level 2 of Corporate Governance of B3 S.A. – Brasil, Bolsa, Balcão.
AES Tietê is one of the largest private renewable energy generation companies in Brazil in terms of installed capacity, with 20 years of experience in the Brazilian energy sector in connection with its corporate restructuring through a roll-up, with the migration of AES Tietê’s shareholders to AES Brasil Energia S.A., a wholly-owned subsidiary of AES Tietê.
As part of the restructuring, AES Brasil was registered as a publicly traded company with the Securities and Exchange Commission and listed on the Novo Mercado listing segment of the B3, which establishes a highly differentiated standard of corporate governance and requires additional practices beyond those provided for under Brazilian Law.
With the completion of the Restructuring, AES Tietê’s shareholders received shares issued by AES Brasil in proportion to the position previously held in AES Tietê’s share capital and AES Tietê became a wholly-owned subsidiary of AES Brasil.
AES in-house counsel was formed by Carlos Renato Xavier Pompermaier, rodrigo Esteves Almeida and Denis Scarpato.
