Lefosse Advogados assists Elfa in the acquisition of Grupo DRS
Lefosse Advogados assisted Elfa Medicamentos S.A. Saúde in the acquisition of 68.3% of the shares of Grupo DRS
Lefosse Advogados acted as legal counsel of Elfa Medicamentos in the acquisition of 68.3% of the capital stock of Grupo DRS, a group of logistics services for the health sector.
The value of the transaction was R$58,588,918.85, adjusted to R$56,126,471.04 on the closing date, still subject to certain adjustments (including an earn-out provision).
Elfa holds the right to inject R$ 5 million into the target and increase its equity interest to 70%. The closing of the transaction took place on September 10, 2021.
The transaction reinforces Elfa’s strategy of providing innovative and high value-added logistics solutions for the Brazilian healthcare sector.
The logistics market for clinical research is estimated at approximately R$2.1 billion and grew by an average of 12% per year between 2017 and 2020.
DRS Group grew 44% in the same period and has global leaders in its client portfolio.
