Lefosse and Machado Meyer in the R$ 3.5 billion deal between Kabum and Magazine Luiza

Lefosse Advogados advised Kabum and its partners in the sale of its technology and e-commerce gaming platform to Magazine Luiza, advised by Machado Meyer Advogados.
The R$3.5 billion transaction is the largest in the history of e-commerce in Brazil.
The acquisition will be made through a R$ 1 billion cash payment, as well as a merger of Kabum’s shares into Magazine Luiza, as a result of which Kabum will become a wholly owned subsidiary of Magazine Luiza.
According to the company’s material fact, 75 million Magazine Luiza shares and warrants to subscribe up to 50 million shares will be issued in favor of Kabum’s shareholders.
