Lefosse and Pinheiro Guimarães in investment agreement between AES Energia and Itaú

Lefosse Advogados advised AES Brasil Energia S.A that has signed an investment agreement with Itaú Unibanco S.A, represented by Pinheiro Guimarães Advogados

AES Brasil Operações S.A., a subsidiary of AES Brasil Energia S.A., and Itaú Unibanco S.A. entered into an investment agreement whereby Itaú agreed to invest an additional amount in Guaimbê Solar Holding S. A., a subsidiary of AES Brasil that holds all wind and solar power generation projects of the growing renewable energy business within the group.

Itaú invested BRL 360 million and increased its shareholding in Guaimbê Holding to 23.41%.

In addition to the issue of new preferred shares by Guaimbê Holding, the Investment Agreement also provided for the contribution to Guaimbê Holding by AES Operations of its stake in Ventus Holding de Energia Eólica Ltda., which is a subsidiary of AES Brasil controls the Ventus Wind Power Complex, located in the State of Rio Grande do Norte, as well as its participation on the companies AGV Solar IV Geradora de Energia SA, AGV Solar V Geradora de Energia SA and AGV Solar VI Geradora de Energia SA, which comprise the second phase of the Ouroeste Solar Complex, located in the municipality of Ouroeste, in the State of São Paulo.
