Lefosse Advogados has acted as Brazilian special counsel to VTEX and to Alexandre Nucci Soncini, André Spolidoro Ferreira Gomes and Rafael do Amaral Forte in connection with the primary and secondary public offering totaling US$361,000,000.00.
Pinheiro Neto Advogados advised the IPO underwriters: J.P. Morgan Securities LLC, Goldman Sachs & Co. LLC, BofA Securities, Inc., KeyBanc Capital Markets Inc., Morgan Stanley & Co. LLC and Itau BBA USA Securities, Inc.
VTEX granted the underwriters an option to purchase up to 2,850,000 additional shares of Class A common stock, at any time in whole, or from time to time in part, until the thirtieth day after the date of the offering prospectus.
