Lefosse and Stocche Forbes in the deal between 2TM and Parmais
Lefosse Advogados represented 2TM Participações S.A. in its acquisition of the asset manager ParMais
Lefosse Advogados acted as legal counsel to 2TM Participações S.A. in the purchase of 100% of the capital stock of PAR2 Holding S.A. (ParMais), represented by Stocche Forbes Advogados.
PAR2 Holding S.A is the holding company for PAR Administração de Valores Mobiliários Ltda., PAR 5 Gestão E Consultoria Ltda PAR6 Tecnologia Ltda. and PAR7 Corretora de Seguros Ltda. currently owned by a group of private selling shareholders.
The transaction involves a corporate restructuring that will result in Parmais as full owner of PAR ADM, PAR 5, PAR 6 and PAR 7. Closing of the transaction is subject to certain conditions precedent.
2TM owns Bitcoin Market, the largest cryptocurrency brokerage in Brazil with nearly 3 million investors who use the brokerage not only to trade cryptocurrencies, but also tokens from different sectors, such as judicial bonds (precatórios) and soccer.
PAR ADM is an investment fund manager and the Target Companies’ activities are mainly related to financial advisory and investment consulting.
