Lefosse and T&C advise on J&F’s commercial notes issuance

Lefosse advised J&F, the holding company that controls companies such as JBS, on the 9th issue of commercial notes, aimed at professional investors, under the terms of CVM 160.

The operation had a value of BRL 2.875 billion and was coordinated by Bradesco BBI, which was advised by Tauil & Chequer Advogados.

The funds raised will be used mainly to prepay the company’s previous debts, including the 5th series of the 1st issue and the entire 4th issue of commercial notes. The measure aims to reorganize the company’s financial liabilities and strengthen its cash position.

To guarantee full payment of the new issue, a fiduciary sale of shares in JBS N.V., a company registered in the Netherlands and belonging to the group, was offered as collateral. In all, more than 102 million class B shares in JBS N.V. were pledged, in a contract governed by Dutch law.
