Lefosse assists Volpe Capital Partners in investment structuring

Lefosse Advogados has assisted Volpe Capital Partners Ltd., its affiliates and founding partner André Maciel in structuring Volpe Capital Fund, L.P., and in negotiating a relevant investment made by Banco BTG Pactual S.A. and its affiliates

Lefosse Advogados advised Volpe Capital Partners Ltd, its affiliates and founding partner André Maciel in the structuring of Volpe Capital Fund, L.P., a Cayman Islands-based growth private equity fund, and in the negotiation of a relevant investment made by Banco BTG Pactual S.A. and its affiliates.

The project involved regulatory advice on investment structure, fundraising issues, negotiation of transaction documents with BTG Pactual, and other corporate matters.

Under the transaction, BTG Pactual committed to make a confidential proprietary investment in the Fund, as well as to distribute a material share of the Fund’s shares with BTG Pactual’s ultra-high-net-worth clients. Additionally, as part of the transaction, BTG Pactual will provide administrative services to the Fund.

The Lefosse team included partners Luis Octavio Duarte Lopes (pictured left), André Mileski (pictured centre) and André Ziccardi (pictured right) and associates João Pizarro, Ana Xavier and Arnaldo Berardi.

The other parties involved are: Morison & Foerster, LLP acted as legal counsel to Volpe Capital in the United States. BTG Pactual was assisted by its in-house legal team and Debevoise & Plimpton LLP acted as its legal counsel in the US.
