Lobo de Rizzo advises Nestlé on acquisition of Kopenhagen

Lobo de Rizzo advised Nestlé Brasil on the acquisition of the totality of the shares held by FIP Dutch (which quotaholders are funds managed by Advent International) in Nibs Participações and, indirectly, in its subsidiary CRM Indústria e Comércio de Alimentos (CRM Group), owners of Kopenhagen and Chocolates Brasil Cacau.

Mattos Filho advised advised FIP Dutch.

The CRM Group has more than 1,000 stores and is one the of largest franchisors in Brazil. The stock control will facilitate Nestlé’s access in a distinctive segment, aggregating to its structure a new business model with the chain of stores offering an exclusive experience to consumers, allying fine chocolates and coffee.

The completion of the transaction is subject to the fulfillment of customary conditions precedent, including approval from CADE. The transaction value was not disclosed.
