Lobo de Rizzo advises on Solfácil CRI issuance
Lobo de Rizzo served as deal counsel in the 177th issuance, carried out in five series, of real estate receivables certificates (CRI) by Vert Companhia Securitizadora. The certificates are backed by real estate credit rights originated by Solfácil Energia Solar Tecnologia e Serviços Financeiros, a company operating in the solar energy financing sector.
The transaction was structured under CVM 160 and comprised one series placed privately and four series distributed through a public offering. XP Investimentos Corretora de Câmbio, Títulos e Valores Mobiliários acted as lead coordinator, alongside Banco Bradesco BBI as coordinator. The total value of the issuance reached BRL 455,912,000.
The public offering was divided across four series: BRL100 million for the first series, BRL282,500,000 for the second series, BRL36 million for the third series and BRL18million for the fourth series. The fifth series, valued at R$19,412,000, was not part of the public offering, as it was placed privately by Solfácil and/or its related parties.
Lobo de Rizzo’s involvement covered the structuring of the transaction as well as the drafting, review and negotiation of all related documentation.
