Machado Meyer advises Hering in billionaire deal with Grupo Soma
Machado Meyer advised Cia. Hering in R$ 5 billion deal with fashion group Soma S.A (Grupo Soma)
The agreement refers to the business combination of Hering and Grupo Soma. The integration of the activities of the Company and Soma Group will be implemented, essentially, through the following subsequent and interdependent acts: merger of the Company’s shares into a wholly-owned subsidiary of Soma Group (“NewCo”), with the issuance by Newco of redeemable preferred shares; redemption of such shares through cash payment; and acquisition of the merger of NewCo into Soma Group, with the Company becoming a wholly-owned subsidiary of Soma Group.
All actions are subject to the conditions precedent set forth in the Joint Venture Agreement, including, but not limited to, approval by CADE.
