Machado Meyer advises Magazine Luiza on the acquisition of Pazos, Ottoni & Cia Ltda. and Nonsense Creations, LLC (Jovem Nerd)
Machado Meyer acted as legal advisor to Magazine Luiza, through its controlled subsidiaries NS2.Com Internet S.A. and Netshoes Holdings, LLC, of all the shares representing the capital stock of Pazos, Ottoni & Cia Ltda. and Nonsense Creations, LLC (Jovem Nerd), the largest multimedia platform focused on the nerd and geek audience in Brazil.
The firm provided legal advice by assisting in the negotiation of the employment contracts to be entered into by the key personnel, assisting the buyer in defining the structure of the transaction, and assisting the buyer in the negotiation and review of the quota purchase agreement and other ancillary documents.
As part of Magalu’s efforts to increase app usage and frequency, Young Nerd content will also be integrated into the Magalu SuperApp. With the acquisition, Young Nerd joins CanalTech, Steal the Look and Magalu itself to increase the company’s audience while expanding the reach and relevance of MagaluAds.
