Machado Meyer advises on Eyes Nwhere commercial notes issue

Machado Meyer Advogados advised on the structuring of the first issuance of book-entry commercial notes by Eyes Nwhere Sistemas Inteligentes de Imagem, a company operating in the telecommunications and electronic security sector.

The transaction consisted of the issuance, in a single series, of 15,700 commercial notes, totaling BRL15,700,000.00 (approximately USD 3,133,732.53). The offering was carried out under the automatic registration procedure pursuant to CVM 160, and other regulations, and was directed exclusively at professional investors. The notes carry a final maturity date of May 19, 2031.

The issuance was supported by in rem guarantees in the form of fiduciary assignment of real estate and fiduciary assignment of financial investments, as well as personal guarantees in the form of avals granted by individuals and legal entities related to the Issuer’s economic group. Oliveira Trust DTVM acted as fiduciary agent, bookkeeper, and settlement agent. Itaú BBA Assessoria Financeira acted as financial advisor to the offering.
