Machado Meyer Advogados advised Banco Pan in merger agreement with Mosaico Tecnologia ao Consumidor

The law firm Machado Meyer Advogados advised Banco Pan S.A. (PAN) in the negotiation and drafting of the Association Agreement with Mosaico Tecnologia ao Consumidor S.A., establishing the potential merger of Mosaico’s shares by PAN, subject to compliance with certain conditions precedent.

With the implementation of the transaction, PAN will have incorporated Mosaico, owner of the Zoom, Buscapé and Bondfaro brands, which is the largest content and sales origination platform for e-commerce in Brazil.

The transaction will take place entirely through a share swap. As a result of the transaction, PAN will become the largest and most complete banking and consumer platform in Brazil. This ecosystem enables a unique value proposition, passing through the various stages of the consumer buying journey.

Machado Meyer acted as legal counsel to Banco Pan S.A. lead by partners Arthur Bardawil Penteado (pictured top left), Renato Maggio (pictured top left), Diana Pacifico Henne (pictured bottom left), Clarissa Figueiredo de Souza Freitas (pictured bottom right).
