The transaction is the acquisition of 100% of the capital stock of Carta Fabril S.A., located in the states of Goiás and Rio de Janeiro and owner of brands such as Cotton, Deluxe, Social or Coquetel, by CMPC Melhoramentos Ltda. (Softys Brasil), Brazilian subsidiary of the Chilean company CMPC S.A. and owner of the brands Elite, Sublime, Paloma or Duetto, in the context of a bidding process carried out by BTG Pactual.
The value of the transaction was R$1.138 billion. The acquisition is subject to the satisfaction of certain conditions precedent, including the prior approval of the Brazilian antitrust authority – CADE.
As a result of the acquisition, Softys Brasil will consolidate 380,000 tons of installed capacity, adding the operations it currently has in the states of São Paulo and Paraná.
Machado Meyer was the legal advisor to CMPC Melhoramentos Ltda. and Softys Brasil and was headed by partners Ivandro Sanchez (pictured top left) and Adriana Pallis (pictured top right) together with partners Bruna Marrara Martinez, Diogo Martins Teixeira, Eduardo Ferreira, Maria Eugenia Novis, Raquel Cristina Ribeiro Novais, Rodrigo Seizo Takano. Also acting for the firm were lawyers Alejandro Manuel Alcaraz Parraga, Gabriel Leao Vazami, and Gustavo Giordano Tudisco.
