Machado Meyer Advogados assisted Tate&Lyle PLC in the process of selling a controlling stake in its business to KPS Capital Partners, LP
Machado Meyer assisted Tate&Lyle PLC, a global supplier of food and beverage ingredients for industrial markets, in the process of selling a controlling stake in its North American and Latin American primary products businesses and its stakes in Almidones Mexicanos S.A. de C.V. and DuPont Tate & Lyle Bio-Products Company, LLC to KPS Capital Partners, LP.
These businesses and assets will be divided into new companies following the completion of a complex corporate reorganization. As a result of the transaction, Tate & Lyle and KPS will own 50% of the NewCo Group, with KPS having board of directors and operational control.
Each company will focus on its respective strategies and capital allocation priorities. The portion of the business retained by the Tate & Lyle Group will be related to food and beverage solutions, focused on faster growing specialty markets, while the NewCo Group will provide plant-based products for the food and industrial markets.
