Machado Meyer, Stocche Forbes advise on BRL 50m deal
Machado Meyer advised the issuer, Stocche Forbes advised the coordinator on a BRL 50 million debenture offering carried out by Águas de Andradas S.P.E., a company created to operate the 30-year public water supply and sewage concession in Andradas, Minas Gerais, awarded to the Serra da Mantiqueira Consortium. The debentures were offered to professional investors, and the proceeds will fund the concession fee and the investments required under the concession agreement.
The transaction is secured by fiduciary security over all shares issued by Águas de Andradas as well as the receivables arising from the concession, together with a corporate guarantee provided by Infrainvest Participações.
Águas de Andradas was represented by Machado Meyer, with the team composed of partner José Virgílio Lopes Enei, associate Alexandre Simões De Mello and intern Danilo Cherubine de Oliveira Souza. The issuer’s in-house counsel was Andréa Vasconcelos.
Stocche Forbes advised Leto Capital as lead coordinator and relied on partner Marco Saliba, together with associates Alice Mendes, Larissa Chaves, Leonardo Corais and Antonio Lira. Leto Capital’s in-house counsel was Lívia Fogaça.
