Madrona and TozziniFreire advise on dissolution of a joint venture
Madrona Advogados advised Raízen on the structuring of the transaction, drafting and negotiation of the documents to implement the dissolution of the joint venture established in 2019 through the Rede Integrada de Lojas de Conveniência e Proximidade (Grupo Nós) with the Femsa group, which was advised by TozziniFreire Advogados.
Raízen shall individually operate the stores convenience business Shell Select and Shell Café and Femsa shall operate the proximity store business under Oxxo. As part of the agreement, Grupo Nós will continue to provide supply and logistics services related to the product portfolio currently made available through its distribution center to Shell Select and Shell Café stores. The transaction is aligned with Raízen’s strategy of streamlining and simplifying its business portfolio, enabling greater focus and agility in the execution of its Integrated Shell Offering.
The closing of the transaction is subject to approval by CADE, as well as to the fulfillment of the other conditions precedent set forth in the agreements. The transaction value was not disclosed.
