Madrona Fialho advises Kolplast on sale to ADDvise
Addvise Group Ab (Publ), through ADDvise Brasil Participações, has entered into a share purchase agreement with the owners of Opera K – Holding De Investimentos em Saúde, Kolplast Investimentos, and Kolplast Ci regarding the acquisition of 100% of shares of the three companies, subject to the satisfaction of certain conditions.
ADDvise is a leading supplier of equipment to healthcare and research facilities. The cross-border acquisition of the companies represents its first transaction in Brazil.
The transaction value is BRL 210,000,000.00 (USD 42,75 millions). The acquisition will be consummated at an initial cash consideration of BRL 160 million and conditional and performance-based payments expected to amount to BRL 50 million in aggregate over a three-year period.
