Madrona Fialho and Pinheiro Neto on acquisition of CNC by Buzzi
Madrona Fialho Advogados advised Buzzi, one of the major cement producers worldwide, in the acquisition of 50% of the stake held by Grupo Ricardo Brennand in Nacional Cimentos Participações (NCPAR), controlling entity of the Cimento Nacional and its subsidiaries, which was advised by Pinheiro Neto Advogados.
Buzzi, who has been operating in the Brazilian market since 2018 through the joint venture with Grupo Ricardo Brennand, consolidates the control of Cimento Nacional and will operate standalone from now on.
The acquisition was completed through the exercise of the Put Option by Grupo Ricardo Brennand provided for in the Shareholders’ Agreement entered in 2018 between Buzzi and Grupo Brennand, and others. The transaction amount is approximately R$ 1.8 billion and is already approved by CADE.
