Martinelli advises Gefran on Novus Automation deal
Martinelli Advogados advised the Italian group Gefran on its acquisition of NOVUS Automation, a Brazilian company specializing in instruments and digital solutions for industrial automation and based in Rio Grande do Sul. Silveiro Advogados represented NOVUS in the transaction. Completion of the transaction remains subject to the fulfillment of the conditions precedent set out in the agreement.
The deal brings together two internationally active companies in a sector central to industrial modernization, where sensors, control systems and monitoring platforms allow real-time process tracking, increased production efficiency and reduced operational risk in environments where precision, traceability and continuity are essential.
The cross-border nature of the deal required coordination of Brazilian and foreign legal work, including the transaction’s international structure. Martinelli’s team, led by partners Ettore Botteselli (pictured left) (M&A) and Claudia Freitas (Tax), handled preliminary agreements, legal due diligence, the drafting and negotiation of definitive agreements, and the transaction’s tax structuring, among other matters required for closing. The Martinelli team also included Lais Cortes and Isadora Aguiar in Corporate, and Ana Carolina Gaertner in Tax.
