Martinelli advises Scala on Transpodiesel stake

Martinelli Advogados has advised Scala Logística on the acquisition of an equity stake in Transpodiesel, a company specialised in the handling and transportation of hazardous liquid cargo and fuels. The transaction deepens Scala’s footprint in one of the most regulated segments of the logistics chain.

The acquisition required a detailed legal due diligence process covering not only corporate matters but also regulatory permits, environmental exposure and operational risk allocation. Contractual protections were structured to reflect the specific nature of the hazardous materials transport business, which is subject to strict safety standards, licensing requirements and sector-specific compliance obligations.

Transpodiesel operates in a niche characterised by high barriers to entry, driven by the stringent regulatory oversight and risk exposure inherent to fuel and liquid chemical bulk transport. These factors make transactions in this segment structurally more complex, particularly in the assessment of operational liabilities.

For Scala, the deal represents a strategic move to consolidate its presence in a market where scale must be combined with technical capability and regulatory reliability. The transaction strengthens the company’s position across the full logistics chain in a sensitive and operationally demanding segment.
