Marval advises TotalEnergies in asset swap with Pampa Energía

Marval advised TotalEnergies in an asset swap with Pampa Energía involving, from TotalEnergies‘ standpoint, the purchase of the wind farm Mario Cebreiro, in the Province of Buenos Aires, and the assignment of its participation in the hydrocarbons-concession in Rincón de Aranda, Vaca Muerta. The agreements were executed on January 23, 2023, and the transaction closed on August 16, 2023.

For TotalEnergies, this transaction implies an important milestone in its energy diversification strategy, while for Marval it meant a deal that involved several of its practice areas.

The transaction was led by TotalEnergies Legal affair Department, through its heads Marisa Basualdo y María Gabriela Roselló Warren, along with Matías Bértola.

Marval’s team assisting the sales agreement of the wind farm was led by partners Pablo Garcia Morillo (pictured top left) and María Laura Bolatti Cristofaro (pictured top center-left), along with associates Mariano Martín Morat and Guido Garaban.

The advice regarding the transfer of the Rincón de Aranda Area was led by partners Francisco Macias (pictured top center-right), Agustina Ranieri (pictured top right), and senior of-counsel Arturo Pena, who were assisted by associate Felipe Fernández.

Regarding the electric energy aspects and administrative law, Marval’s advice was led by partner Gonzalo Santamaria (pictured bottom left). Partner María Inés Brandt (pictured bottom center) led the work on tax issues. Partner Francisco Abeal (pictured bottom right) oversaw the foreign exchange and banking law matters.

Pampa Energía was represented in the transaction by in-house counsels Martín Gardella and María Agustina Montes, and by Salaverri, Burgio & Wetzler Malbrán, through partners Diego Salaverri and Tomás Arnaude, along with associates Santiago Freire y Carolina Colombo.
