Marval represents on Adecoagro’s international issuance and tender offer

Argentinean Marval O’Farrell Mairal has advised Adecoagro on the issuance of international notes due July 29, 2032, under New York law and guaranteed by select company subsidiaries, as part of a Rule 144A/Reg S offering under the U.S. Securities Act.

Simultaneously, Adecoagro_ an agro-industrial company that produces and manufactures food and renewable energy, launched a cash tender offer for all of its outstanding 2027 notes.

Itau BBA USA Securities, J.P. Morgan Securities, Balanz Capital UK, Banco BTG Pactual – Cayman Branch and Morgan Stanley & Co. acted as international underwriters of the issuance and as international dealer managers in the tender offer.

The Bank of New York Mellon acted as trustee, registrar, paying agent and transfer agent under the indenture entered into with Adeco.

Marval O’Farrell Mairal acted as local legal advisor to Adecoagro through partners Pablo Viñals Blake (pictured) and Sergio Tálamo, along with associates Martín Iván Lanús and Pedro María Azumendi.

Adeco’s internal legal and finance team was composed of Emilio Gnecco, Jonathan Goldschmidt, and Victoria Cabello as finance advisors, and Josefina Díaz Vega and María Victoria Matelica as internal legal advisors.
