Mattos Filho advised Mosaico on its sale to Banco Pan
Mattos Filho Advogados advised Mosaico Tecnologia ao Consumidor S.A and its founding shareholders in the deal with Banco PAN SA.
BTG Pactual, the controlling shareholder of Banco Pan, announced the acquisition of Mosaico, owner of the Zoom, Buscape and Bondfaro brands.
Mattos Filho advised Mosaico Tecnologia ao Consumidor S.A and its founding shareholders in the discussion, negotiation and execution of an association agreement and other agreements with Banco PAN SA and Banco BTG Pactual S.A., as the controlling shareholder of Banco PAN, in connection with the merger of all shares issued by Mosaico in Banco PAN, resulting in Mosaico’s 100% ownership interest in Banco PAN.
Closing of the transaction is subject to compliance with the usual suspensive conditions for this type of transaction.
The value of the transaction was R$22,600,000,000.00.
