Mattos Filho and Lefosse advise on Órigo Energia’s group issue
Mattos Filho and Lefosse advised on the first issuance of commercial notes for public distribution, under the automatic procedure, in accordance with CVM 160, by Terra Nova do Norte MT 1631 Geração de Energia 0122, a company from Órigo Energia‘s group.
The notes were classified as “green bonds”. Banco Bradesco BBI acted as lead underwriter and the proceeds will be used by for the structuring, implementation, construction, commissioning and operation of 46 distributed solar generation projects.
The commercial notes were secured by corporate guarantee from Órigo Energia and all of the SPVs holding the solar projects, as well as by the usual project financing collateral package, including collateral over the equipment, quotas of the issuer and the SPVs holding the solar projects and fiduciary assignment of receivables and bank accounts.
