Mattos Filho and Stocche Forbes advise on Embracon–CNP deal
Mattos Filho and Stocche Forbes advised on the business combination between Embracon Administradora de Consórcios and CNP Consórcio – Administradora de Consórcios.
Mattos Filho advised CNP on the transaction’s structuring, including tax and regulatory aspects, as well as on the negotiation of investment and shareholders’ agreements. Stocche Forbes advised Embracon on the execution of the investment, purchase and sale, and other covenants agreement with CNP Assurances Participações, CNP Assurances, and CNP Assurances Latam Holding.
The transaction involved a corporate reorganization through the merger of CNP Consórcio into Embracon and the acquisition of additional shares in Embracon by CNP.
