Mattos Filho and Veirano advise on CMOC–Equinox Gold deal

Mattos Filho advised CMOC Limited on the negotiation and execution of the agreement to acquire the operations of the Equinox Gold group in Brazil, including the Aurizona, RDM, and Bahia Complex gold mines, for US$1,015,000,000. Veirano Advogados advised the sellers.

The transaction involves a cash payment of US$ 900,000,000.00 at closing, in addition to a contingent payment of up to US$ 115,000,000.00 linked to the mines’ production. The closing is expected in the first quarter of 2026, subject to regulatory approval in Brazil and Canada and the fulfillment of the usual applicable conditions precedent.
