Mattos Filho counsels AEGEA on debenture issue
Mattos Filho acted as legal counsel to AEGEA Saneamento S.A.
Mattos Filho acted as legal counsel to AEGEA Saneamento S.A. in the two public offerings, with restricted efforts, of simple debentures, made by the subsidiaries SPE Saneamento Rio 1 SA and SPE Saneamento Rio 4 SA (together, “SPEs”), which won, respectively, blocks 1 and 4 of the tender for the concession of water and sewage distribution services in the city of Rio de Janeiro, promoted by Companhia Estadual de Águas e Esgotos do Rio de Janeiro – the largest water and sewage concession in Brazil.
The proceeds of the debentures, which together total BRL 7.8 billion, will be used for the payment of the fixed concessions owed by the SPEs to the State of Rio de Janeiro, as the grantor of the concessions, and for investments necessary to expand the services that are the object of the concessions.
The public offerings of the Debentures were coordinated by a syndicate composed of eleven private banks, namely J.P. Morgan (lead coordinator); Banco ABC; BTG Pactual; Itaú BBA; Banco Safra; XP Investimentos; Alpha Corretora; Bradesco BBI; Daycoval; Sumitomo Mitsui and Morgan Stanley.
Mattos Filho represented AEGEA Saneamento e Participações S.A., SPE Saneamento Rio 1 S.A., SPE Saneamento Rio 4 S.A. and was headed by partners Bruno Mastriani Simões Tuca (pictured left) and Bernardo Môcho Moura (pictured right) and lawyers Raphael Silva Saraiva, Lucca Rizzo, Lilian Porto Reis, Cecília Bueno Vecchi.
