Mattos Filho represents Actis in settlement with EDP Brasil
Mattos Filho, Veiga Filho, Marrey Jr e Quiroga Advogados represented Actis Assessoria Investimentos Ltda.
EDP – Energias do Brasil SA and an affiliate of Actis Assessoria Investimentos Ltda have entered into a share purchase agreement, providing for the sale of all shares of the capital stock held by EDP Brasil in three transmission assets, namely EDP Transmissão SA (“Lot 24”), EDP Maranhão I SA (“Lot 7”) and EDP Maranhão II SA (“Lot 11”).
The agreement has an enterprise value of R$1,329 million, which will be adjusted between the base date and the closing date. The intended sale of the shares resulted from a competitive process in which Actis was the winner. The closing of the transaction is subject to compliance with certain customary conditions precedent.
