Mattos Filho advised Vinci Partners, through its private equity fund Vinci Capital Partners III H Multi-Strategic Investment Fund, in the acquisition of a minority interest in Banco Agibank S.A., a financial institution based in Porto Alegre. The conclusion of the transaction is subject to suspensive conditions, including approvals from the Central Bank.
The deal represents an investment of R$ 400 million by Vinci, one of the largest private equity funds in Brazil, in Banco Agibank, a financial institution that has been growing consistently. The bank’s goal is to become an increasingly digitalized, one-stop-shop platform for the 50+ audience.
Because Banco Agibank is a financial institution regulated by the Central Bank and Vinci is a resource manager regulated by the CVM, the deal brought interesting challenges from a regulatory point of view.
The deal was advised by the following Mattos Filho’s team: Claudio Oksenberg (partner), Flavio Mifano (partner), Larissa Lancha Alves de Oliveira Arruy (partner), Pedro Whitaker de Souza Dias(partner), Flávio Barbosa Lugão (partner), Marcio Soares (partner), Francisco Zaninotto Mont’ Alverne (associate), Camila Spadoni Mahfuz (Associate), Raphael Portella Chamma (associate), Alexia Saint-Clair Fernandes Carneiro Caram (Assocciate), Luciana Moreira Kanarek (Associate), Mariana Pio da Rocha Pereira (Associate), Tomás Machado de Oliveira (Associate).
