Miranda & Amado assists Aurania Resources in sale of Minera Vicus Exploraciones
Miranda & Amado has assisted Aurania Resources, a Toronto-listed mining company, in the sale of 100% of its shares in its Peruvian subsidiary, Sociedad Minera Vicus Exploraciones, to Canadian Palamina Corp.
The transaction, signed on June 10 and closed on September 16, involved the jurisdictions of Canada and Peru. Kahatt Abogados also advised on the transaction.
Under the share purchase agreement, Aurania will receive 350,000 common shares of Palamina and a 1% Net Smelter Return (NSR) royalty on certain mining concessions located in Peru, which are owned by Vicus. Palamina has the option to repurchase half of the NSR for $1,000,000 at any time.
Sociedad Minera Vicus Exploraciones holds 94 mining concessions in different regions of Peru.
