Miranda & Amado helped VINCI become toll road operator in Peru

Miranda & Amado advised VINCI Highways on the acquisition of LAMSAC, the concessionaire-holder of Proyecto Línea Amarilla, and PEX Peru, the toll collection operator. 

VINCI Highways is the road and highway subsidiary of VINCI, the French infrastructure, concessions and construction multinational.

LAMSAC is the concessionaire-holder of Línea Amarilla, a 25 km toll road around the centre of the Peruvian capital. PEX is LAMSAC’s electronic toll collection operator. LAMSAC holds a concession contract with the Municipality of Lima to build, operate and maintain the Línea Amarilla until November 2049.

LAMSAC and Pex were previously owned by Investimentos e Participacoes em Infraestrutura (INVEPAR) and Linea Amarilla Brasil Participacoes S.A., both companies organized in Brazil. The transaction was valued at €1.5 billion.

Partners Bruno Amiel and Rocío Liu led the Miranda & Amado team advising VINCI. The company instructed Demarest Advogados as Brazilian counsel.

The sellers, INVEPAR, retained Estudio Echecopar – Member Firm of Baker McKenzie International in Peru and Vieira Rezende in Brazil.
