Morimor counsels Biocorp on sale of PCG to Swixx BioPharma
Morgan & Morgan has counselled Biocorp Holding on a sequence of transactions culminating in the completed sale of Pharma Consulting Group (PCG) to Swixx BioPharma.
The advice also involved accompanying the share purchase and debt repayment agreement with Darby Fund III Holdings, which was necessary for the closing of the transaction with Swixx BioPharma AG. In addition, the closing of the share purchase and debt repayment agreement was secured by an escrow agreement.
PCG is the parent company of Laboratorios Biopas, a leading Latin American pharmaceutical company engaged in the licensing, promotion and distribution of innovative specialty pharmaceuticals, operating in 20 countries.
