Martínez Quintero Mendoza Gonzáles Laguado & De La Rosa has advised Grupo Sacyr on its corporate reorganization and the subsequent USD $1.565 billion sale of three major road concessions in Colombia to an entity controlled by Actis Long Life Infrastructure Fund II. The transaction, announced on November 26, 2025, involves the Autopista Pamplona–Cúcuta, Autopista al Mar 1, and Autopista Rumichaca–Pasto projects—key assets within Colombia’s fourth-generation (4G) infrastructure program.
The firm acted as legal advisor on tax, corporate, and existing financing matters throughout the process, which required coordination across multiple jurisdictions, including Colombia, the United Kingdom, and New York. Lead partners Laura Galeano ( pictured left) and Juan Manuel De La Rosa (pictured right) headed the team, supported by Sebastián Celis (Director), and associates Isabela Ramírez, Manuelita Enriquez, and Carlos Mario Torres.
The divestment marks one of the region’s significant infrastructure transactions of the year, positioning Actis to expand its long-term presence in Latin American transport assets while allowing Grupo Sacyr to advance its strategic reorganization.
Several other international firms also advised on the deal: PPU acted as legal counsel to Grupo Sacyr for the share purchase; Brigard Urrutia advised Actis on both the acquisition and the existing financings; and Paul Hastings served as New York counsel to Grupo Sacyr on financing-related matters.
