Multiple Argentina-based firms advise on Arcor–Danone Dairy JV
Marval and Bruchou & Funes de Rioja have counseled Arcor, a leading food industry group in Argentina, on the creation of a strategic joint venture with Danone aimed at building a major player in the country’s dairy market.
The transaction includes the acquisition of controlling interests in Mastellone Hermanos and the contribution of the existing shareholdings of Arcor and Danone in Mastellone Hermanos and Danone Argentina. Together, these companies manage some of Argentina’s most recognized dairy brands, including La Serenísima and Ser.
This joint venture is expected to boost Arcor and Danone’s position in the sector by combining their operational capabilities, brand portfolios, and market expertise.
Marval O’Farrell Mairal acted as legal advisor to Danone through a multidisciplinary team led by its M&A practice, through partners Bárbara Ramperti (pictured left) and María Laura Bolatti Cristofaro, and associates Agustina María Giordano and Martina Pagani. Danone was advised by its internal M&A team, led by Daniela Dalton, with the participation of Antoine Belzanne, as well as its internal M&A legal team.
F&G Finance & Management acted as financial advisor to Danone through a team led by Patricio Rotman and Alberto Lagos Mármol, along with others.
Bruchou & Funes de Rioja acted as external legal counsel to Arcor, and partner Mariano Luchetti (pictured right)led the team, along with senior associate María Gulias and associates Delfina Nécol, Santiago Cleti García and Agustina Lanús de la Serna (M&A).
