Multiple firms act in the issuance of Vista Energy Argentina
Cleary Gottlieb Steen & Hamilton, Bruchou & Funes de Rioja, Linklaters, and Salaverri, Burgio & Wetzler Malbrán have advised Vista Energy Argentina on the completion of the issuance of its Class XXIX simple non-convertible notes, denominated, subscribed, and payable in U.S. dollars abroad.
The notes were issued for a nominal value of USD 500 million under the company’s global note issuance program, which allows for short-, medium-, or long-term simple non-convertible notes up to an aggregate maximum of USD 3 billion, or its equivalent in other currencies or units of measurement.
The Class XXIX Notes will mature on June 10, 2033, and bear interest at a fixed annual nominal rate of 8.500%. Interest payments will be made semiannually, starting on December 10, 2025, and continuing through to the maturity date.
Santander US Capital Markets, Citigroup Global Markets., and Itau BBA USA Securities acted as international initial purchasers (the “Initial Purchasers”), while Banco de Galicia y Buenos Aires, Banco Santander Argentina, Macro Securities and Balanz Capital Valores acted as local placement agents for the Class XXIX Notes (the “Local Placement Agents”).
The Bank of New York Mellon acted as Trustee, Registrar, Paying Agent, and Transfer Agent under the Indenture entered into with Vista and Banco Santander Argentina, the latter acting as the Trustee’s Representative in Argentina, Registrar and Transfer Agent in Argentina, and Paying Agent in Argentina.
Bruchou & Funes de Rioja acted as Vista’s local advisor, with the team led by partner José María Bazán (pictured) and associates Ramón Augusto Poliche, Sofia Maselli, and Branko Serventich.
