NHG advises FIBRAeMX on acquisition of stake in GANA

Nader Hayaux & Goebel has advised FIBRAeMX on the acquisition of a significant stake in Grupo Autopistas Nacionales (GANA), the Mexican concessionaire of the Amozoc-Perote toll road connecting Mexico City to the Port of Veracruz.

The transaction involved the acquisition of shares of Aleatica and Invex, marking an important milestone in the expansion of FIBRAeMX’s portfolio.

The transaction, valued at MXN 5.2 billion, was financed through a combination of cash on hand, bank funds and proceeds from a follow-on issuance by FibraeMX.

The advisory involved the processing of authorizations before the Comisión Federal de Competencia Económica (COFECE) and the Secretaría de Infraestructura, Comunicaciones y Transportes (SICT); an exchange of Invex’s shares in GANA for CBFEs issued in the follow-on issue, while Aleatica’s shares were acquired in cash; as well as the negotiation and execution of a shareholders’ agreement between FIBRAeMX and GANA’s existing shareholders.
