Nicholson Cano and PAGBAM assist in new issue of Rizobacter Notes
Nicholson y Cano Abogados has assisted Rizobacter Argentina, a subsidiary of Bioceres Crop Solutions Corp, and Pérez Alati Grondona Benites & Arntsen assisted the underwriters, in the issuance of Series IX Notes.
The issue was made on 28 June under the framework of its Global Programme of Simple Negotiable Obligations for up to a nominal value of USD $200,000,000 (or its equivalent in other currencies or other units of value).
The Notes were issued in two classes: (i) the Series IX Class A Notes, with a face value of USD $12,984,397, denominated in US dollars, and (ii) the Series IX Class A Notes, with a face value of USD $12,984,397, denominated in US dollars. 397, denominated in US dollars, to be integrated in pesos at the Initial Exchange Rate or in kind with the Series VI Class B Notes, Series VII Class B Notes or Series VIII Class A Notes, and payable in pesos at the Applicable Exchange Rate, at a fixed interest rate of 5.00% nominal per annum, maturing on 28 June 2026; and (ii) the Series IX Class B Notes, for a nominal amount of USD $7,015,603, denominated in US dollars, maturing on 28 June 2026; and (iii) the Series IX Class B Notes, for a nominal amount of USD $7,015,603, payable in pesos at the Applicable Exchange Rate, at a fixed interest rate of 5.00% nominal per annum, maturing on 28 June 2026, maturing on 28 June 2026. 015,603, denominated in US dollars, to be subscribed, integrated and payable in US dollars, at a fixed interest rate of 7.50% nominal per annum, maturing on 28 June 2026.
Banco de Galicia y Buenos Aires, Max Capital, Banco Supervielle, Banco Santander Argentina, Latin Securities, Allaria, Banco Mariva, Cohen, PP Inversiones, Invertironline and Balanz Capital Valores acted as underwriters.
