Pérez-Llorca advises on the sale of stake in Colombia’s Puerto Nuevo Coal Port
Pérez-Llorca has represented Glencore International and its Colombian subsidiary CI Prodeco, as sellers, on the divestment of their interest in Sociedad Portuaria Puerto Nuevo, a coal export port concession in Ciénaga, Magdalena, to Epicurio Enterprises under a cross-border sale process.
Prodeco, owned by Glencore International, is a Colombian mining and logistics group with a key role in coal exports, operating infrastructure such as Puerto Nuevo, a public-service port that serves as a strategic outlet for Colombia’s thermal coal production and related logistics chains. The transaction closed on January 15, 2026.
Pérez-Llorca was engaged as Colombian local counsel after Prodeco decided to divest its stake in Puerto Nuevo as part of a wider portfolio optimisation strategy, requiring a structured sale to Epicurio Enterprises with robust analysis of concession terms, competition issues, and regulatory approvals under Colombian law.
The transaction involved the divestment of a strategic, high-value port concession vital to Colombia’s coal export chain, requiring detailed analysis of concession obligations, transfer mechanics, and tax implications, as well as close coordination of Colombian regulatory requirements with UK and Panamanian deal considerations, all managed within a carefully staged and time-sensitive sale process.
