PHR assists HDI Seguros and HDI Seguros de Vida merger
Posse Herrera Ruiz has assisted both entities in the merger by absorption between HDI Seguros and HDI Seguros de Vida, Colombian insurers owned by the Talanx Group.
This transaction was announced in September 2021 and had an equity value of 8,068,544,400 Colombian pesos.
The advisory involved corporate matters, the merger and the regulatory clearance of no objection by the Colombian Financial Superintendence and other competent authorities in Colombia.
The merger was approved by the entities as part of the strategy to strengthen and consolidate the Talanx Group in Colombia.
Juan Rodrigo Ospina and Andrés Zuluaga acted as in-house counsel to HDI Seguros.
