Pinheiro Guimarães advise BPS Capital on M&A with Alphaville
Pinheiro Guimarães advised BPS Capital, Pinheiro Neto advised Alphaville and its subsidiaries.
The transaction consisted on the acquisition, by a fund affiliated to BPS Capital Participações Societárias, of 33 companies held by the Alphaville., a publicly held company, containing certain operational liabilities arising from its real estate launches prior to 2019 (legacy).
As a result of the transaction, BPS Capital will capitalize at the Alphaville, at closing, the amount of R$216,866,836.00, by using a credit arising from the transactions contemplated in the investment agreement.
As part of the capital increase, Alphaville will offer, as an additional advantage to all its subscribers (including BPS Capital), a subscription warrant for each subscribed share.
The exercise price of the subscription warrant will be subject to the value of the Alphaville’s real estate launches for a period up to 12 months after the closing of the transaction. The transaction represents an important step in Alphaville’s financial and operational restructuring process, with the reduction of operational liabilities arising from the legacy (launches prior to 2019).
