Pinheiro Guimarães assists Bionexo in Bain Capital investment
Pinheiro Guimarães Advogados assisted Bionexo S.A. and its shareholders
The transaction is about Bain Capital’s investment in Bionexo S.A., a Brazilian health technology company.
The amount of the investment was BRL 300,000,000 by Bain Capital in Bionexo, of which BRL 200,000,000 to be invested at the closing of the transaction and BRL 100,000,000 to be invested within two years after the closing. Bain Capital has also acquired BRL 140,000,000 in Bionexo shares from Maurício de Lazzari Barbosa and Prisma Bazar Fundo de Investimentos em Participações Multiestratégia.
Bain Capital will hold 37.27% of the Company’s capital stock, reaching up to 42% if the additional investment is concluded, and the control will be exercised by the current shareholders Maurício de Lazzari Barbosa, Apus Participações SA, Prisma Bazar Fundo de Investimentos em Participações Multiestratégia, Orjen Investments PTE. Ltda.
Pinheiro Guimarães Advogados assisted Bionexo S.A., as target; and Maurício de Lazzari Barbosa, Apus Participações S.A., Prisma Bazar Fundo de Investimentos em Participações Multiestratégia, Orjen Investments PTE. Ltd., as controlling shareholders, and other minority shareholders. The firm had the leadership of partners Francisco J. Pinheiro Guimarães (pictured left) and Bernardo Bulhões (pictured right) in the operation. And also with associates Bernardo Romano Teixeira and Julia Machado Barreto.
