Pinheiro Guimarães Advogados advised CSN Cimentos S.A on acquisition of Lafarge Holcim in Brazil for an enterprise value of USD1.025 billion
Pinheiro Guimarães acted as Brazilian counsel to CSN Cimentos S.A. in the acquisition of Lafarge Holcim (Brazil) S.A.; this acquisition includes Holcim’s five integrated cement plants, four grinding stations, six aggregates sites and 19 ready-mix concrete facilities in Brazil.
The acquisition of LafargeHolcim Brasil will add capacity of 10.3 million of tons of cement per year to CSN Cimentos and is expected to create operational, management, commercial and logistics synergies to CSN Cimentos, allowing for the improvement of the product mix and expansion of its client base. Upon closing, CSN Cimentos will have a total capacity of 16.3 MTPA and an enhanced presence in the Brazilian market.
Closing of the transaction for an enterprise value of USD1.025 billion is subject to certain condition precedent, including the approval by Brazilian antitrust authorities.
