Two firms act on the acquisition of control of Tok&Stok by Mobly
Pinheiro Neto and Lefosse advised on the capital increase of Mobly through the contribution, of the shares issued by Estok Comércio e Representações, owned by the Tok&Stok controlling shareholders into Mobly.
The minority shareholders of Tok&Stok will have the right t adhere to the terms of the Contribution Agreement. In addition to the shares issued as a result of the capital increase, the Tok&Stok Controlling Shareholders shall be entitled to a warrant.
In addition to the Capital Increase, Mobly will issue convertible debentures to its shareholders and to certain affiliates of the Tok&Stok Controlling Shareholders.
The economic value of the totality of Tok&Stok’ shares, as appraised by an expert engaged and approved by Mobly general shareholders’ meeting, shall correspond to, at least, BRL 112,346,848.72.00
